Technology Legal Senior Counsel

Job Description

The Global Technology Legal Practice Group provides legal support to the firm’s technology organization, and to all business units on technology matters. Among other topics, this Practice Group provides primary legal coverage in the areas of Cloud, Data Management, Technology Transactions, Outsourcing, SaaS and Licensing Agreements, and other outsourcing agreements. The Practice Group supports many of the firm’s most innovative and cutting-edge initiatives, including the acquisition of all technology services, research and development, and external partnerships and collaborations.

As an Assistant Vice President / Senior Counsel (AVP) in the Tech Legal team, you will focus on technology transactions for the firm primarily in the market data space. You will handle the structuring, drafting, negotiation and management of agreements for the acquisition of market data. Additionally, you will handle other global and domestic technology products and services including but not limited to intellectual property licenses, outsourcing, software license/support, and cloud services agreements. You will work closely with colleagues in Market Data Services, Sourcing, Third-Party Oversight, Information Security and Technology. This is an excellent opportunity for a junior attorney with a strong foundation in market data at the intersection of finance and technology, and to gain exposure to a complex and innovative industry-leading organization.

Salary: $123,500.00-$210,000.00

Job Responsibilities

  • Structure and negotiate agreements and relationships with vendors, partners, and other third parties in the market data space.
  • Structure and negotiate agreements and relationships with vendors, partners, and other third parties for technology products and services including but not limited to intellectual property licenses, order management system agreements, SaaS agreements, hardware and maintenance agreements, index license agreements, platform agreements, AI tool agreements, and other professional services agreements.
  • Manage end-to-end negotiations and navigate internal processes and coordination to reach timely and satisfactory execution of agreements.
  • Partner with senior attorneys to assist with firm-wide training on market data.
  • Provide guidance and subject matter expertise on new and existing regulatory requirements to internal and cross-functional partners.
  • Support the firm’s M&A and investment activities with due diligence and integration support.

Required Qualifications, Capabilities, and Skills

  • Law degree or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment.
  • At least 3 years of experience as a practicing attorney in a law firm or corporate law environment.
  • Extensive experience drafting and negotiating contracts for technology/outsourcing transactions with a focus on market data agreements, e.g. software licensing/support, software as a service, content licenses, reseller agreements, outsourcing, professional and other services agreements.
  • Strong analytical, problem-solving and legal research skills.
  • Strong business judgment and strategic thinking.
  • Proven ability to independently identify issues, analyze problems and provide viable solutions.
  • Excellent verbal, written, interpersonal, organizational and negotiation skills.
  • Ability to work accurately under pressure, handle deadlines, and manage multiple tasks in a high-volume environment.
  • Ability to follow up on assignments in a timely manner and exercise good business judgment.
  • Excellent interpersonal skills and ability to build consensus across a global matrix organization.

Preferred Qualifications, Capabilities, and Skills

  • Familiarity with global regulatory issues relevant to the use of technology in financial services, including third-party risk management.
  • Strong interest in new and emerging technology solutions and applications, including a baseline understanding of AI concepts, and issues relative to licensing such technologies.

All candidates for roles in the Legal Department must successfully complete a conflicts of interest clearance review prior to commencement of employment. Attorneys must be licensed to practice law and a member in good standing or otherwise eligible to practice law in the jurisdiction in which the position is based.
